By accessing the Website, creating an account, or purchasing any product, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Website and refrain from purchasing products or services from Nuva Labs.

1. Acceptance of Terms

By using this Website or purchasing from Nuva Labs, you represent and warrant that:

2. Customer Eligibility

Nuva Labs supplies products exclusively for legitimate scientific and laboratory research.

Purchases are intended only for qualified researchers, educational institutions, laboratories, licensed businesses, and other organizations engaged in lawful research activities. By placing an order, you represent that your purchase is being made for research purposes consistent with these Terms.

Nuva Labs reserves the unrestricted right to approve, reject, limit, suspend, or cancel any customer account or order at its sole discretion.

To verify compliance with these Terms, we may request documentation establishing your research qualifications, business status, institutional affiliation, or intended research use. Failure to provide requested documentation, or providing information we reasonably believe to be inaccurate or misleading, may result in cancellation of pending orders, refusal of future sales, suspension of your account, or permanent termination of access to the Website.

Nothing in these Terms obligates Nuva Labs to sell products to any individual or organization, and we reserve the right to discontinue service to any customer at any time, subject to applicable law.

3. Research Products and Intended Use

All products sold by Nuva Labs are offered solely for lawful laboratory research and in vitro scientific applications.

By purchasing, possessing, or using any product sold by Nuva Labs, you expressly acknowledge and agree that:

• Products are intended exclusively for laboratory research conducted by qualified personnel.
• Products are not intended for human consumption, veterinary use, clinical use, household use, diagnostic procedures, therapeutic treatment, or any other non-research purpose.
• Products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for any medical, therapeutic, or diagnostic application.
• Nothing on this Website, including product descriptions, educational materials, scientific references, blog articles, or customer communications, should be interpreted as medical advice, dosing guidance, treatment recommendations, or instructions for human or animal administration.
• You are solely responsible for ensuring that your purchase, possession, storage, transportation, and use of our products complies with all applicable federal, state, and local laws, regulations, and institutional policies.
• You will not use, permit, encourage, or facilitate the administration of any Nuva Labs product to any human or animal under any circumstances.

Any misuse of products inconsistent with these Terms constitutes a material violation of this agreement and may result in immediate cancellation of orders, permanent account termination, refusal of future business, and any other remedies available to Nuva Labs under applicable law.

4. Account Registration

By creating an account, you agree to:

5. Orders, Pricing, and Payment

All orders placed through the Website are subject to review and acceptance by Nuva Labs.

Submission of an order does not constitute acceptance of that order. We reserve the right to reject, limit, modify, or cancel any order at any time and for any reason, including but not limited to suspected fraud, inventory limitations, pricing errors, compliance concerns, or suspected violations of these Terms.

By placing an order, you agree that:

• You are authorized to use the payment method provided.
• You will pay all applicable charges, taxes, shipping fees, and other amounts associated with your purchase.
• The billing information you provide is accurate and complete.
• Prices displayed on the Website may change at any time without prior notice.

If a payment cannot be successfully processed, Nuva Labs may delay shipment, suspend processing, or cancel the order without further obligation.

In the event of an obvious pricing or typographical error, Nuva Labs reserves the right to cancel the affected order, even if payment has already been submitted. If payment has been collected for a canceled order, the amount paid will be refunded using the original payment method.

6. Shipping and Delivery

Nuva Labs currently ships only to addresses within the United States unless otherwise stated on the Website.

Estimated delivery dates are provided solely for convenience and should not be considered guaranteed delivery commitments. Shipping delays may occur due to weather conditions, carrier issues, holidays, regulatory inspections, or other events beyond our reasonable control.

Ownership of products and the risk of loss transfer to the purchaser once the shipment has been delivered to the designated shipping carrier.

Nuva Labs is not responsible for:

• Carrier delays or delivery interruptions.
• Lost, stolen, or misdelivered packages after carrier acceptance.
• Incorrect shipping addresses provided by the customer.
• Delays resulting from circumstances outside our control.

Customers are responsible for ensuring that shipping information is accurate before submitting an order.

7. Returns, Replacements, and Refund Policy

Due to the specialized nature of research products, all sales are generally considered final unless otherwise required by applicable law.

Nuva Labs will consider replacement requests only for products that arrive damaged during shipment.

To qualify for a replacement, you must:

• Notify Nuva Labs within the timeframe specified in our Returns Policy.
• Provide clear photographs showing the damaged package and product.
• Retain all original packaging until the claim has been reviewed.

Replacement requests are evaluated individually and are granted solely at the discretion of Nuva Labs. Unless otherwise required by law, customers are limited to one replacement request per order.

Products that have been opened, reconstituted, improperly stored, mishandled, or otherwise altered after delivery are not eligible for replacement or refund.

Except where prohibited by law, Nuva Labs does not provide refunds or replacements based on:

• Buyer remorse.
• Incorrect product selection.
• Dissatisfaction with research outcomes.
• Improper handling or storage after delivery.
• Use inconsistent with the intended laboratory research purpose.

8. Intellectual Property

All content available on the Website, including but not limited to text, product descriptions, graphics, logos, trademarks, photographs, videos, software, databases, designs, page layouts, and other materials, is owned by or licensed to Nuva Labs and is protected under applicable United States and international intellectual property laws.

Your use of the Website does not grant you ownership of any intellectual property rights.

Except as expressly permitted in writing by Nuva Labs, you may not:

• Copy, reproduce, republish, distribute, or display Website content.
• Modify or create derivative works based on our content.
• Use our trademarks, logos, branding, or product images.

• Resell, redistribute, relabel, or repackage Nuva Labs products without our prior written authorization.
• Remove, alter, or obscure product labels, warnings, lot numbers, or identifying information.
• Represent any Nuva Labs product as approved for medical, pharmaceutical, veterinary, diagnostic, or therapeutic use.
• Advertise, recommend, or suggest that any product sold by Nuva Labs is intended for human or animal consumption.
• Publish, distribute, or communicate dosing protocols, administration instructions, treatment recommendations, or similar guidance involving Nuva Labs products through the Website, customer communications, social media, affiliate content, or any other platform.

Because Nuva Labs sells products exclusively for laboratory research, any promotion, discussion, encouragement, or facilitation of human or animal use constitutes a material violation of these Terms.

Nuva Labs reserves the right to immediately suspend or terminate customer accounts, cancel pending orders, refuse future transactions, or pursue any other remedies available under applicable law for violations of this section.

10. Suspension and Termination

Nuva Labs may suspend, restrict, or permanently terminate your access to the Website, your customer account, or any services we provide at any time and without prior notice if we reasonably believe that:

• You have violated these Terms.
• You have provided inaccurate or misleading information.
• Your account has been involved in fraudulent, deceptive, or suspicious activity.
• You have used or promoted our products in a manner inconsistent with their intended laboratory research purpose.
• You fail to provide requested documentation regarding your research qualifications or intended use.
• Your continued access presents a legal, regulatory, security, or business risk to Nuva Labs.

Termination may include cancellation of pending orders, refusal of future purchases, deletion or suspension of your account, and restriction of access to certain portions of the Website.

Termination does not relieve you of any obligations that survive under these Terms, including payment obligations, indemnification duties, intellectual property restrictions, limitations of liability, or dispute resolution provisions.

11. Affiliate and Referral Program

Nuva Labs may, from time to time, offer an affiliate or referral program that allows approved participants to earn commissions or other incentives for qualifying referrals.

Participation in any such program is entirely voluntary and subject to these Terms, as well as any additional program policies published by Nuva Labs.

Nuva Labs reserves the sole discretion to determine:

• Eligibility requirements.
• Commission rates.
• Qualifying purchases.
• Payment thresholds.
• Payment schedules.
• Promotional restrictions.
• Any modifications to the Program.

Participation in the Program does not create an employment relationship, partnership, agency relationship, or joint venture between you and Nuva Labs.

Affiliates are solely responsible for the content they create or publish, including advertisements, websites, social media posts, videos, emails, and promotional materials.

Affiliate participants may not:

• Make medical, health, pharmaceutical, or therapeutic claims regarding Nuva Labs products.
• Publish dosing information or administration instructions.
• Suggest that products are intended for human or animal use.
• Misrepresent their relationship with Nuva Labs.
• Violate any applicable advertising, consumer protection, or FTC disclosure requirements.

Nuva Labs reserves the right to withhold commissions, adjust referral credits, suspend payouts, or terminate participation in the Program whenever we determine, in our sole discretion, that fraudulent activity, misleading advertising, policy violations, or other improper conduct has occurred.

Nuva Labs may modify, suspend, or discontinue the Program at any time without prior notice.

12. Assumption of Risk

By purchasing, possessing, handling, storing, transporting, or otherwise using any product sold by Nuva Labs, you acknowledge and agree that you assume all risks associated with such activities.

Nuva Labs manufactures and distributes products exclusively for laboratory research. Once products leave our control, we cannot supervise or verify how they are stored, handled, transported, tested, or otherwise used.

You expressly assume all responsibility for:

• Proper storage and handling.
• Laboratory safety procedures.
• Compliance with applicable laws and regulations.
• Safe disposal of products and materials.
• Any consequences resulting from misuse, improper handling, contamination, degradation, or unauthorized applications.

You further acknowledge that Nuva Labs expressly prohibits the use of its products in humans or animals and disclaims responsibility for any damages, injuries, losses, or liabilities arising from uses inconsistent with these Terms.

To the fullest extent permitted by applicable law, you voluntarily assume all risks associated with your purchase and use of Nuva Labs products.

13. Disclaimer of Warranties

THE WEBSITE, ALL PRODUCTS, AND ALL INFORMATION PROVIDED BY NUVA LABS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUVA LABS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• TITLE;
• ACCURACY OR COMPLETENESS OF INFORMATION; AND
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, NUVA LABS DOES NOT WARRANT THAT:

• OUR PRODUCTS WILL MEET ANY PARTICULAR RESEARCH OBJECTIVE OR EXPECTED RESULT;
• PRODUCT CHARACTERISTICS WILL REMAIN UNCHANGED AFTER DELIVERY DUE TO STORAGE, TRANSPORTATION, OR HANDLING;
• SCIENTIFIC REFERENCES OR INFORMATION AVAILABLE ON THE WEBSITE ARE COMPLETE, CURRENT, OR FREE OF ERROR;
• THE WEBSITE WILL OPERATE WITHOUT INTERRUPTION, SECURITY ISSUES, OR TECHNICAL ERRORS.

Certificates of Analysis (COAs) reflect testing performed on a specific batch at the time of analysis and should not be interpreted as an ongoing guarantee of product condition or suitability for any particular research application.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NUVA LABS, ITS OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO:

• USE OF THE WEBSITE;
• PURCHASE OR POSSESSION OF ANY PRODUCT;
• STORAGE, HANDLING, OR USE OF PRODUCTS;
• RELIANCE UPON INFORMATION PROVIDED ON THE WEBSITE; OR
• ANY ACT OR OMISSION RELATED TO THESE TERMS.

THIS LIMITATION APPLIES TO ALL CLAIMS, INCLUDING THOSE BASED UPON CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF NUVA LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF NUVA LABS FOR ANY CLAIM ARISING OUT OF THESE TERMS OR ANY PRODUCT PURCHASE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Nuva Labs, its owners, members, officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, demands, lawsuits, investigations, liabilities, judgments, damages, losses, penalties, fines, settlements, costs, or expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your purchase, possession, storage, handling, transportation, testing, or use of any Nuva Labs product.
• Any misuse of products, including any administration to humans or animals.
• Any statements, representations, instructions, or recommendations you make regarding Nuva Labs products.
• Any advertising, affiliate marketing, social media content, reviews, testimonials, or promotional materials created or distributed by you.
• Your violation of these Terms or any applicable law or regulation.
• Any infringement or violation of the rights of another person or entity resulting from your conduct.
• Any governmental investigation, enforcement action, or regulatory proceeding arising from your actions involving Nuva Labs products.

Nuva Labs reserves the right, at its own election, to assume the exclusive defense of any matter subject to indemnification. If we do so, you agree to cooperate fully in that defense and remain responsible for all indemnifiable losses and expenses.

Your indemnification obligations survive the termination of your account, your purchases, and these Terms.

16. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT OR HAVE A JURY TRIAL.

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Website, or any purchase or use of products from Nuva Labs shall be resolved exclusively through final and binding arbitration.

Arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules then in effect.

Unless otherwise required by applicable law, arbitration shall:

• Be conducted before a single arbitrator.
• Take place in the State of California.
• Be conducted in the English language.
• Result in a final decision that may be entered as a judgment in any court having jurisdiction.

Each party shall bear its own attorneys’ fees and costs unless otherwise awarded by the arbitrator or required by law.

Class Action Waiver

To the fullest extent permitted by law, you and Nuva Labs agree that all disputes shall be resolved solely on an individual basis.

You waive any right to participate as a plaintiff, claimant, or class member in any class action, collective action, representative proceeding, or class-wide arbitration against Nuva Labs.

The arbitrator shall have no authority to consolidate claims involving different individuals or to preside over any representative or class proceeding.

Small Claims Exception

Nothing in this section prevents either party from bringing an individual claim in a court of competent small claims jurisdiction where permitted by applicable law.

Injunctive Relief

Notwithstanding the arbitration provisions above, Nuva Labs may seek temporary, preliminary, or permanent injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, Website security, or other legal rights where monetary damages would be insufficient.

By agreeing to these Terms, you knowingly waive any right to a trial by jury for disputes subject to arbitration.

17. Governing Law

These Terms shall be governed by and interpreted under the laws of the State of California, without regard to its conflict of law principles.

Where litigation is permitted under these Terms or applicable law, you agree that exclusive jurisdiction and venue shall lie in the state or federal courts located within the State of California, and you consent to the personal jurisdiction of those courts.

18. Changes to These Terms

Nuva Labs reserves the right to revise, update, or replace these Terms at any time.

Any modifications become effective immediately upon publication on the Website unless a different effective date is expressly stated.

Your continued access to or use of the Website after revised Terms have been posted constitutes your acceptance of those revisions.

You are responsible for reviewing these Terms periodically to remain informed of any updates.

19. Severability

If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain valid and enforceable.

Failure by Nuva Labs to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights available under these Terms.

Any waiver shall be effective only if made in writing and signed by an authorized representative of Nuva Labs.

A waiver of any breach shall not be deemed a waiver of any subsequent breach or of any other provision contained in these Terms.

21. Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer, Returns Policy, and any additional policies or legal notices referenced on the Website, constitute the complete and exclusive agreement between you and Nuva Labs concerning your use of the Website and purchase of our products.

These Terms supersede all prior or contemporaneous discussions, communications, negotiations, understandings, representations, or agreements, whether oral or written, relating to the subject matter addressed herein.

No employee, representative, customer service agent, affiliate, distributor, or other individual acting on behalf of Nuva Labs has the authority to modify these Terms unless such modification is contained in a written amendment executed by an authorized officer of Nuva Labs.
